1. Agreement

These Terms of Use apply to tps-erp.com, www.tps-erp.com and truepathsolutions.deed.page (the "website"), operated by True Path Solutions Inc. ("True Path", "we", "us"), Windsor, Ontario. By using the website you agree to these terms. If you do not agree, please do not use the website.

2. Information only, not an offer

The website gives general information about our services. Nothing on it is an offer, a contract or professional advice for your specific business. A business relationship with True Path only begins when both parties sign a written agreement or statement of work. If anything on the website conflicts with a signed agreement, the signed agreement wins.

3. Prices

• All prices are in Canadian dollars and are shown plus HST (and any other applicable taxes).
• Published package prices are starting points. Final scope, price and timing are confirmed only in a written agreement.
• Software licences (for example Odoo) are purchased separately from the software vendor and are not included in our prices unless the written agreement says so.
• We may change prices on the website at any time. Changes do not affect a signed agreement.

4. Estimates, examples and calculators

Any savings figures, time estimates, calculators, checklists and examples on the website are estimates for illustration only, not guarantees. Actual results depend on your business, data, people, processes and many other factors outside our control.

5. No warranty

The website is provided "as is" and "as available". To the fullest extent permitted by law, we make no warranties or representations of any kind, express or implied, about the website, including accuracy, completeness, availability, fitness for a particular purpose or non-infringement. We may change, suspend or remove any part of the website at any time without notice.

6. Limitation of liability

To the fullest extent permitted by law, True Path, its directors, employees and contractors are not liable for any direct, indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or business opportunity, arising from your use of, or inability to use, the website or reliance on its content, even if we were told such damage was possible. Where liability cannot be excluded, it is limited to C$100. Liability for paid services is governed only by the signed client agreement.

7. Intellectual property and logo

The website content, design, text, graphics and the True Path Solutions name and logo belong to True Path Solutions Inc. or its licensors and are protected by Canadian and international law. You may view and print pages for your own business evaluation. You may not copy, republish, modify or use our name or logo without our written permission. Odoo is a trademark of Odoo S.A.; other names and marks belong to their owners, and their mention does not imply endorsement or partnership.

8. Acceptable use

You agree not to misuse the website, including trying to access the employee Team Hub without an authorized key, interfering with the website's security or operation, or using it for any unlawful purpose.

9. Links to other websites

The website links to third-party sites such as LinkedIn. We do not control those sites and are not responsible for their content, policies or practices. A link is not an endorsement.

10. Privacy

Our Privacy Policy and Cookie Policy explain how we handle personal information and what is stored on your device.

11. Indemnity

You agree to indemnify True Path against claims arising from your breach of these terms or misuse of the website.

12. Governing law and courts

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You agree that the courts located in Windsor, in the County of Essex, Ontario, have exclusive jurisdiction over any dispute about the website, unless the law requires otherwise.

13. General

If any part of these terms is found unenforceable, the rest stays in effect. Our not enforcing a term is not a waiver of it.

14. Changes

We may update these terms at any time. The effective date and last-updated date at the top show the current version. Continued use of the website means you accept the updated terms.
